These Terms of Service (“Terms”) govern your access to and use of the Subgrade Cyber platform at https://subgradecyber.com (the “Service”) operated by Subgrade (“we,” “our,” or “us”). Subgrade Cyber is built for civil construction teams to manage plant risk records, SWMS workflows, site operations, and compliance documentation.
By accessing or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.
Subgrade Cyber provides a digital framework for Plant Risk Assessments (PRA) and SWMS. The User acknowledges that the Service does not perform physical inspections. Accuracy of safety data relies entirely on User input, site supervision, and physical verification. To the extent permitted by law, Subgrade Cyber is not liable for site incidents arising from incorrect data entry, omitted records, delayed updates, or failed physical inspections.
The Service can support IMS-compliant documentation and versioned records, but audit outcomes remain the User’s responsibility. You are responsible for assigning correct document versions, maintaining records, and ensuring site teams follow current procedures. We are not liable for failed audits, notices, or penalties caused by misuse, misconfiguration, missing records, or failure to use version controls correctly.
Paid tiers are billed in advance on a recurring basis (monthly or annually, depending on plan). You authorize us to charge applicable fees using your selected payment method.
If payment is overdue, we may apply late fees where permitted, suspend the account, and freeze access to compliance documents and safety records (including PRAs, SWMS, and related logs) until outstanding amounts are paid.
You are responsible for the accuracy and legality of all data entered, including worker records, plant records, geolocation-linked site events, pre-start outcomes, and safety documentation. You retain rights to your Customer Data and grant us a limited license to host and process it to provide the Service.
You must keep credentials secure and notify us promptly of unauthorized access. You are responsible for activity under your account. We may suspend or terminate access for misuse, non-payment, security risk, or breach of these Terms.
To the fullest extent permitted by law, Subgrade Cyber and its suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, business, data, or opportunity arising from use of the Service.
The Service is provided “as is” and “as available.” We do not guarantee uninterrupted operation, error-free automation, or suitability for every legal or regulatory obligation. You must maintain appropriate independent site controls and compliance processes.
We may update these Terms from time to time. If changes are material, we will provide notice. Continued use after the effective date of updated Terms constitutes acceptance.
Beta features are pre-general availability and provided for testing. Features involving automated maintenance alerts, machine safety notifications, defect triggers, or related safety workflows may be delayed, inaccurate, or unavailable.
During any beta period, Users must maintain a separate manual or paper secondary record for statutory safety requirements (including SWMS and PRA obligations). Beta outputs must not be treated as the sole source of truth for high-risk decisions.
Any feedback, suggestions, ideas, or workflow recommendations submitted regarding beta functionality become the sole intellectual property of Subgrade Cyber, and may be used without restriction or compensation.
To the extent permitted by law, beta functionality is provided with zero warranty and no liability for beta-related defects, delays, omissions, or safety workflow errors.
