These Terms of Service (“Terms”) govern your access to and use of the Subgrade Cyber platform at https://subgradecyber.com (the “Service”) operated by Subgrade (“we,” “our,” or “us”). Subgrade Cyber is designed for civil construction teams to manage projects, people, plant, Day Works, timesheets, and safety workflows across multiple tenants.
By accessing or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.
When you create an account, you consent to receive operational emails (approvals, alerts, security notices) and, optionally, product updates. You may opt out of marketing messages at any time via the unsubscribe link.
Paid tiers are billed in advance on a recurring basis (monthly or annually, depending on the plan). Subscriptions renew automatically unless cancelled from your admin dashboard or by contacting support.
You must provide accurate billing details and a valid payment method. You authorize Subgrade to charge applicable fees. If automatic billing fails, we may send an invoice for manual payment.
We may offer limited trials. If billing details are collected, charges begin after the trial unless you cancel before it ends. Trial terms may change or be discontinued at any time.
We may update subscription pricing with notice before the next billing cycle. Continued use after the change constitutes acceptance of the new fees.
If you do not agree to new pricing, cancel before the change takes effect.
Refunds, if offered, are reviewed case by case at the sole discretion of Subgrade.
You are responsible for the accuracy and legality of data you enter (including timesheets, allocations, asset records, Day Works, and safety documents). You retain your rights to Customer Data; you grant us a limited license to host and process it to operate the Service. Do not upload content you lack rights to or that violates law or third-party rights.
You must be 18 or older to create an account. Keep credentials secure and notify us promptly of any unauthorized access. You are responsible for actions taken under your account.
We may refuse service, suspend, or terminate accounts for misuse, nonpayment, or violation of these Terms.
The Service and its content (excluding your Customer Data) are the property of Subgrade or its licensors and are protected by law. You may not copy or reuse our branding, designs, or code without permission.
Any third-party links or services are used at your discretion. We are not responsible for their content or practices.
We may suspend or terminate access for violation of these Terms, nonpayment, security risk, or unlawful use. You may terminate by stopping use and, if applicable, cancelling your subscription.
Terms that should reasonably survive termination (payment obligations, disclaimers, liability limits, IP protections) will continue to apply.
To the fullest extent permitted by law, Subgrade and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of data, revenue, profits, or business arising from your use of the Service.
The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation, nor that the Service will meet your specific regulatory obligations. Your use is at your own risk.
Some jurisdictions do not allow certain disclaimers or limits; those portions may not apply to you.
We may update these Terms periodically. If changes are material, we will provide notice. Continued use after changes take effect constitutes acceptance.
